Terms of Service

This is a working draft, not a reviewed legal document. It's written to accurately describe what Signaxis actually does today, but it still needs a lawyer's review — especially the bracketed [placeholders] below (governing law, registered address, dispute process) — before it's relied on for real customers in the US, EU, or Australia.

These Terms of Service ("Terms") govern access to and use of Signaxis, an e-signature and document workflow platform operated by Devvista LLC ("Devvista," "we," "us," or "our"). By creating an account or using Signaxis, you ("Customer," "you") agree to these Terms. If you're accepting on behalf of an organization, you're confirming you have the authority to bind that organization.

1. The Service

Signaxis lets you upload or compose a document, place signature/initials/text/date fields on it, send it as a one-time signing link, and collect a completed, signed copy back — along with an audit trail of when it was created, viewed, and signed. We may add, change, or remove features over time.

2. Accounts

You must provide accurate account information and keep your password confidential.
You're responsible for all activity under your account, including everyone on your team you invite.
Tell us immediately at hello@signaxis.com if you suspect unauthorized access.
We offer two-factor authentication (Settings → Two-factor authentication) — we strongly recommend turning it on.

3. Plans and Payment

Signaxis is offered on Free, Business, and Enterprise plans, each with its own feature set and storage allowance as described on our pricing page. [Placeholder: insert billing terms once payment processing exists — billing cycle, taxes, refund policy, what happens to data if a paid plan lapses.]

4. Acceptable Use

You agree not to use Signaxis to:

Upload, send, or request a signature on content you don't have the legal right to use;
Impersonate another person or misrepresent your affiliation with any person or entity;
Send documents to recipients who haven't agreed to receive them, or otherwise violate anti-spam law;
Attempt to bypass, probe, or disable any security or rate-limiting control on the platform;
Use the service for any unlawful purpose, or in a way that infringes anyone else's rights.

We may suspend or terminate an account that violates this section.

5. Electronic Signatures — What Signaxis Is and Isn't

Signaxis is a "click to sign" tool: a recipient reviews a document, then confirms and signs it electronically. It records who signed, when, from what IP address, and what they agreed to — enough for most everyday business use (internal approvals, NDAs, standard contracts).

It is not a notarized signature, a qualified electronic signature, or a certified digital signature service. In the United States, it's intended to operate within the framework of the ESIGN Act and UETA. In the European Union and UK, it functions as a Simple Electronic Signature (SES) under eIDAS — not an Advanced or Qualified Electronic Signature, which some regulated transactions legally require. If a document's enforceability is legally critical — real estate transfers, wills, certain regulated financial or healthcare consents, or anything your jurisdiction specifically excludes from electronic signing — check with counsel before relying on Signaxis for it.

6. Your Content

You retain ownership of the documents and content you upload or create in Signaxis. You grant us a limited license to store, process, and transmit that content solely to provide the service to you (for example, emailing a signing link, or generating the final signed PDF). You're responsible for the accuracy and legality of what you send.

7. Our Intellectual Property

Signaxis — the software, design, and branding — belongs to Devvista LLC. Nothing in these Terms transfers any of that to you beyond the right to use the service as intended.

8. Privacy

Our Privacy Policy describes what data we collect and how we handle it, and is part of these Terms.

9. Termination

You may stop using Signaxis and close your account at any time. We may suspend or terminate an account for a Terms violation, non-payment, or a legal requirement to do so. Signed documents and their audit trail may need to be retained after account closure to preserve their evidentiary value — see the Privacy Policy's retention section.

10. Disclaimers

Signaxis is provided "as is" and "as available." We don't guarantee it will be uninterrupted, error-free, or that it meets every requirement of your specific use case — see Section 5 above on what kind of electronic signature this is and isn't. To the maximum extent permitted by law, we disclaim all other warranties, express or implied.

11. Limitation of Liability

To the maximum extent permitted by law, Devvista LLC's total liability for any claim arising from these Terms or the service is limited to the amount you paid us in the 12 months before the claim arose (or [placeholder amount, e.g. $100] if you're on the Free plan). We aren't liable for indirect, incidental, or consequential damages.

12. Governing Law & Disputes

13. Changes to These Terms

We may update these Terms from time to time. We'll update the "Last updated" date above, and for material changes we'll make a reasonable effort to notify account holders directly.
